General Terms & Conditions

Scope

These General Terms and Conditions set out the default position that applies to commercial dealings with Ozofryn where a specific transaction is not otherwise governed by an individually agreed and signed contract, which will always take precedence over these general terms.

Enquiries and quotations

Enquiries submitted through this website or otherwise are reviewed against product availability, specification, quantity, location and delivery requirements. Any quotation provided is indicative only, subject to confirmation, and does not constitute a binding offer until expressly accepted in writing by both parties.

Product specifications and delivery

Product grade, quantity, packaging and delivery basis — including Incoterms such as FOB, CIF, DES or Ex-Wharf as applicable — are confirmed for each transaction and set out in the relevant contract or order confirmation.

Payment

Payment terms, currency and method are agreed on a transaction-by-transaction basis and specified in the relevant commercial agreement.

Compliance and due diligence

Transactions are subject to Ozofryn’s compliance, sanctions screening and counterparty due diligence procedures, as described on our Responsibility page. Ozofryn reserves the right to decline or withdraw from a transaction where compliance requirements are not satisfied.

Force majeure

Neither party is liable for delay or failure to perform obligations resulting from causes beyond its reasonable control, including but not limited to acts of God, war, port congestion, or government action.

Limitation of liability

Except as expressly agreed in a specific contract, Ozofryn’s liability in connection with any transaction is limited to the value of the relevant order, and Ozofryn is not liable for indirect or consequential loss.

Governing law and disputes

These General Terms and Conditions, and any transaction governed by them, are subject to the laws of the United Arab Emirates, without prejudice to mandatory local law applicable to transactions conducted through Ozofryn’s India operations. Disputes will first be addressed through good-faith negotiation between the parties.

Amendments

Ozofryn may update these General Terms and Conditions from time to time. The version published on this page is the version currently in effect for new transactions.
